Obtaining the consent of the President of the Office of Competition and Consumer Protection for concentration which constitutes the fulfillment of the last condition precedent set forth in a conditional sale agreement for Polkomtel Infrastruktura shares

With reference to Current Report No. 2/2021 of February 26, 2021 concerning the conclusion by Cyfrowy Polsat S.A. (the “Company”) and Polkomtel sp. z o.o. („Polkomtel” and jointly with the Company, the “Sellers”) with Cellnex Poland sp. z o.o. (the “Buyer’), a subsidiary of Cellnex Telecom, S.A. with its registered office in Madrid, Spain, of a conditional share sale agreement (the “Sale Agreement”) concerning the sale of 2,069,656 shares of Polkomtel Infrastruktura sp. z o.o. („Polkomtel Infrastruktura”) (an indirect subsidiary of the Company and a direct subsidiary of Polkomtel, being a direct subsidiary of the Company), representing ca. 99.99% of the share capital of Polkomtel Infrastruktura (the “Shares”) (the “Transaction”), the Management Board of the Company announces that on June 9, 2021 it learnt that the Buyer obtained the consent of the President of the Office of Competition and Consumer Protection for the concentration (the “Antimonopoly Clearance”) and as a result thereof the last condition precedent to completing the Transaction set forth in the Sale Agreement was fulfilled. The Transaction completion was also conditional on obtaining consents required under the financing documentation of the Sellers, as well as conditional release of security interests encumbering the Shares, that occurred prior to obtaining the Antimonopoly Clearance.

In connection with the above the Company informs that the completion of the Transaction, including the full settlement with the Buyer of the price for the sale of the Shares, is planned in July 2021.
