Changes in the composition of the Supervisory Board of Cyfrowy Polsat S.A.

The Management Board of Cyfrowy Polsat S.A. (the “Company”) hereby informs that pursuant to resolution no. 4 of the Extraordinary General Meeting of the Company convened on 29 December 2025 (the “EGM”), the EGM resolved to dismiss Mr Józef Birka from the position of Member of the Company’s Supervisory Board.

Concurrently, on 29 December 2025, the EGM adopted resolutions no. 5, 6, 7, 8 and 9, pursuant to which the following persons were appointed to the Supervisory Board of the Company:

  1. Ms Aleksandra Żak to the position of Vice Chair of the Supervisory Board;
  2. Mr Tobias Solorz to the position of Vice Chair of the Supervisory Board;
  3. Mr Jarosław Grzesiak to the position of Member of the Supervisory Board;
  4. Ms Marta Poślad to the position of Member of the Supervisory Board; and
  5. Mr Piotr Muszyński to the position of Member of the Supervisory Board.

Curricula vitae of appointed Members of the Supervisory Board of the Company

Aleksandra Żak brings extensive leadership and management experience across the conservation, media, and nonprofit sectors.

She studied in the United Kingdom, graduating with a degree in psychology from the University of Warwick and a master's degree in conservation from University College London (UCL). During her studies, she developed an interest in renewable energy sources.

She is one of the initiators of the “green” course of the Polsat Plus Group and the ZE PAK Group, which is currently being implemented in the form of green energy production and a move away from fossil fuel energy production.

In 2009, she went to Africa, where she served as a manager in a nature conservation project and was one of the founders of one of the largest national mobile veterinary units. During her stay in Africa, she also managed a tourism company employing several dozen people. She has experience in organizing large projects and operations.

She worked in the media at Discovery Communications, while continuing her work in nature conservation. Aleksandra Żak currently holds a senior management position as a Board Member of a key non-profit organization in the United States, which she founded and personally leads.

Tobias Solorz has extensive professional experience in telecommunications, finance, and controlling. He began his career in 2003 at Telewizja Polsat Sp. z o.o. From 2007 to 2008, he served as Promotion Manager at Cyfrowy Polsat S.A., and between 2008 and 2010 he was a Member of the Management Board at Sferia S.A., where he was also responsible for marketing, advertising, sales, and operations until March 2011.

In November 2011, he joined the Management Board of Polkomtel Sp. z o.o., the operator of the Plus mobile network, where he served as President of the Management Board from February 2014 to March 2019. From 2014 to 2019, he was also associated with Cyfrowy Polsat S.A., initially as a Member of the Management Board, later as Vice President (from December 2014), and from 2016 to 2019 as President of the Management Board.

Between 2019 and 2024, Tobias served on the Supervisory Boards of Polkomtel Sp. z o.o. and Telewizja Polsat Sp. z o.o.; from 2020 to 2024 he was a member of the Supervisory Board of Grupa Interia Sp. z o.o.; from 2021 to 2024 – of Cyfrowy Polsat S.A.; and from 2022 to 2024 – of Netia S.A. He has also held supervisory roles within the ZE PAK Group, including at ZE PAK S.A., PAK Polska Czysta Energia Sp. z o.o., and selected subsidiaries. Between 2021 and 2024, he served in supervisory capacities at project companies owned by Port Praski Sp. z o.o. He was also a member of the Supervisory Boards of Liberty Poland S.A., Polkomtel Business Development Sp. z o.o., and Interphone Service Sp. z o.o.

In addition, Tobias served as a Member of the Council of the Polsat Foundation — one of Poland’s largest non-governmental organizations, supporting the treatment of children and assisting hospitals and medical institutions across the country.

He holds a degree from the Faculty of Management and Marketing at the University of Warsaw.

Jarosław Grzesiak is a strategic business advisor and one of Poland’s leading lawyers, with extensive experience in corporate transactions, capital markets, and corporate governance. From 2012 to 2021, he served as Managing Partner of Greenberg Traurig in Poland, and earlier, from 1999 to 2012, as Managing Partner of Dewey & LeBoeuf’s Warsaw office. He began his career as Legal Director for PepsiCo, Inc. in Poland and Central and Eastern Europe (1995–1999).

Between 2021 and 2024, he was Chief Executive Advisor at Polsat Plus Group and ZE PAK Group and a member of the supervisory boards of companies within these groups, including Cyfrowy Polsat, Polkomtel, Telewizja Polsat, Netia, Interia, Port Praski, PAK-Polska Czysta Energia, ZE PAK, and PGE PAK Energia Jądrowa. He also serves on the boards of TiVi Foundation and Solkomtel Foundation in Liechtenstein.

For his contribution to the development of the Polish economy and capital market, he was awarded the Gold Cross of Merit. He was named “Lawyer of the Thirty Years” by Rzeczpospolita and the Polish Association of Legal Employers (2018) and recognized as “Dealmaker of the Week” by American Lawyer (2011). For over 15 years, leading international and Polish legal rankings such as Chambers and Partners, IFLR, Legal 500, and Rzeczpospolita have ranked him among Poland’s top lawyers in M&A, capital markets, private equity, and banking and finance.

Jarosław Grzesiak is a member of the Board of Directors of the Atlantic Council, Young Presidents’ Organization – Gold, and the American Chamber of Commerce.

He graduated from the Faculty of Law at Jagiellonian University and has been an attorney-at-law since 1995 (inactive since 2021).

Marta Poślad has over 15 years of experience in management roles across public policy and digital transformation. She joined Google in 2012 as part of the Public Policy and Government Relations team. Prior to her current role, she led Google’s Privacy and Security Policy across Europe, the Middle East, and Africa, based in the company’s London office. Since 2016, she has served as Director of Public Policy and Government Affairs for Central & Eastern Europe and Transatlantic and is a member of Google’s local management team.

She has been elected to the Board of Directors of the American Chamber of Commerce (AmCham) in Poland for three consecutive terms. In 2024, she was appointed Vice-Chairwoman, and in January 2025, she was elected Chairwoman of AmCham.

From 2023 until 2025, she was a member of the Digitization Council, an advisory body to the Polish Ministry of Digital Affairs. She is also a Millennium Fellow at the Atlantic Council, a leading international affairs think tank based in Washington, D.C., and a member of its Poland Advisory Council.

She holds an MPhil in Sociology from the University of Cambridge and a Master’s degree in Political Science from the University of Warsaw. She is also an alumna of the Hoover Institution’s International Seminar at Stanford University and the Leadership Program at The New School in New York City.

Piotr Muszyński is a manager and expert in the telecommunications industry with extensive experience in corporate management and organizational transformation.

He was associated with Orange Polska for many years, serving as a Board Member for Operations from 2008 to 2018, and subsequently as Vice President of the Board for Strategy and Transformation. In these roles, he was responsible for key areas of the company’s operations, including strategic development, transformation processes, and adapting the organization to dynamic market and technological changes.

Currently, he serves as President of the Board of Fixmap Sp. z o.o. and sits on the Supervisory Boards of Internet Union, Wide Net II, GMZ.co and eo. Networks S.A

Piotr is also a member of the Foundation for the Development of Radiocommunication and Multimedia Technologies at the Warsaw University of Technology and serves as a social advisor to the President of the Employers of Poland for ICT matters, PIIT Council actively contributing to the development of the ICT sector and promoting dialogue between business, academia, and public administration.

He holds a degree from the Faculty of Law and Administration at the University of Wrocław and has completed prestigious executive programs, including the Advanced Management Program at IESE Business School (University of Navarra) and the Stanford Executive Program at Stanford University.

Piotr Muszyński is not engaged in any activities competitive to Cyfrowy Polsat S.A. and is not entered in the Register of Insolvent Debtors maintained by the registry court.
