Polsat Plus Group has received a letter from its majority shareholder, the TiVi Foundation, informing it that the Constitutional Court of Liechtenstein has upheld the decision of the Court of Appeal issued in December 2025 concerning the dispute between Zygmunt Solorzand Tobias Solorz, Aleksandra Żak, and Piotr Żak.
The Constitutional Court’s ruling brings the proceedings to a final close and ends the appeal process. This means the definitive conclusion of the litigation that had been ongoing since August 2024 and confirms the validity of the succession carried out on 2 August 2024.
According to the information received by Cyfrowy Polsat, both the judgment of the Liechtenstein Princely Court of First Instance dismissing Zygmunt Solorz’s lawsuit regarding amendments to the statutes of TiVi Foundation (of which the Company became aware on 21 May 2025) and the judgment of the Liechtenstein Court of Appeal dismissing Zygmunt Solorz’s appeal and thereby recognising the claims of Tobias Solorz, Aleksandra Żak, and Piotr Żak (of which the Company became aware on 23 December 2025) remain binding.
This confirms the effective, final and irrevocable transfer of full influence over the activities of the TiVi Foundation and, consequently, the ability to exercise full management of Polsat Plus Group and its subsidiaries by Tobias Solorz, Aleksandra Żak, and Piotr Żak. According to the court rulings, Zygmunt Solorz carried out this transfer knowingly and in line with a succession plan that had been implemented for many years.
“The ruling of the Constitutional Court of Liechtenstein definitively ends the dispute between Zygmunt Solorz and Tobias Solorz, Aleksandra Żak, and Piotr Żak. There is no further avenue of appeal. The transfer of full influence over TiVi Foundation and full management authority over Polsat Plus Group to Tobias, Aleksandra and Piotr is beyond dispute. The Group continues to operate in a stable manner, is pursuing all of its objectives as planned, and is finalising preparations for its new strategy, which, as previously announced, will be unveiled this autumn,” said Daniel Kaczorowski, Chairman of the Supervisory Board of Polsat Plus Group.
In addition, the Supreme Court of Cyprus has set aside the interim injunctions sought by Zygmunt Solorz.
