With reference to Current Report No. 5/2026 dated 12 May 2026 concerning the execution by Polkomtel sp. z o.o. ("Polkomtel"), a wholly owned subsidiary of Cyfrowy Polsat S.A. (the "Company"), of a non-binding term sheet (the "Term Sheet") with Towerlink Poland sp. z o.o. ("Towerlink") and Cellnex Poland sp. z o.o. ("Cellnex"), the Management Board of the Company announces that on 11 September 2026 Polkomtel entered into an amendment to the master service agreement for the provision of services dated 8 July 2021 with Towerlink and Cellnex (the "Amendment"). Concurrently with the execution of the Amendment, Polkomtel placed an order for colocation, emission and transmission services (the "Order"), to be provided by Towerlink to Polkomtel on the terms set forth in the Amendment.
The execution of the Amendment and the placement of the Order by Polkomtel will enable a comprehensive transformation of the mobile network used by Polkomtel to provide telecommunications services to end-users, including the modernization of existing broadcasting infrastructure and its expansion under a model based on sharing passive infrastructure owned by the Cellnex group.
This is expected to result in a material increase in Points of Presence (PoPs) available to Polkomtel, up by approximately 5,000 by 2041, while reducing the unit cost of passive infrastructure in connection with its consolidation based on the resources of the Cellnex group.
In addition, the Order provides for the modernization of the active layer of the radio access network (RAN) used by Polkomtel, including its full replacement based on solutions supplied by Nokia and Ericsson, selected in a market tender, as well as adaptation of the transmission layer. The modernization of active infrastructure will increase the throughput and coverage of the network used by Polkomtel as a result of the intensified expansion of layers based on the 1800 MHz, 2100 MHz and 2600 MHz bands, the deployment of active antenna and massive MIMO (mMIMO) technologies, and the roll-out of layers based on the 700 MHz and 3.6 GHz bands.
The Amendment also includes agreed provisions governing annual inflation-based adjustments, including a maximum annual adjustment of 4%.
The network expansion and modernization under the Order will ensure broad coverage and high quality of telecommunications services provided to Polkomtel's customers, support the performance of regulatory obligations related to the reservation of 5G radio frequencies, and improve the cost efficiency of access to network infrastructure.
